An Overview of the Private Capital Market® Process

Public Portal to PCM

The Private Capital Market® is a new web-based software tool for private companies located on a global public portal website. Our software provides private companies with an investor relations tool that allows the company to communicate and record all conversations with potential investors.

The global public portal allows potential investors to search and sort companies to find investment opportunities that interest them.

The interested viewers request authorization to enter Level One of the private password protected portal of the private company by certifying that they are either institutional or accredited investors and representing that they have conducted enough preliminary due diligence that would warrant their interest in finding out more about the company. The company controls access to their own private portal, and the software maintains a log of who has viewed certain parts of the company’s private portal site.

Level One of Company’s Private Portal

Level One contains the Executive Summary of Business Plan, the Power Point Presentation, and URL link to 3rd party administrator transfer agent. The company website administrator uploads Level One documents to the site’s Document Library. The company’s own securities attorney has administrator rights to manage parts of the website and oversight on communications with potential investors. Interested investors can request authorization to enter level 2.

Level Two of the Company’s Private Portal

Level Two contains the Full Business Plan, the Executive Summaries of expert 3rd party verification of technology and markets for company’s products, (investor can request full documents by filling in NDA). Interested investors can request authorization to enter level 3.

Level 3 of the Company’s Private Portal

contains the Term Sheet, and authorized access to selected documents related to the company’s due diligence library, The potential investor uses a communication request link to the CEO or company attorney to view documents in the due diligence library. Level Three also contains the Attorney’s Opinion Letter on the offering and the Frequently Asked Questions section, which are responded to by the CEO or attorney. Interested investors can request authorization to enter level 4.

Level 4

contains the Private Placement Memo, The Audited Financial Statements, the Subscription Agreements, Stockholder’s Preferences and Rights Agreement, and the Stockholder’s Registration Rights Agreement, Level Four also contains the URL link to 3rd party transfer agent, instructions to the investor on obtaining password to view all documents in the due diligence library and news section, where company places updated financial information. Instructions on where the attorney should send the certificates.

Level Five Investor Relations Site

Level Five performs two important functions. During the offering period, Level Five acts as the Due Diligence Library, where the company uploads and stores all documents related to the offering.

During the offering, investors may obtain increasing levels of authorization to review documents in the library. The CEO always maintains authority to withdraw authority of an investor from being on the company’s private portal.

After the offering period, the company has the option to continue using Level Five, for a small annual fee. Level Five would function to provide investors with immediate access to information about the financial condition of the company.

All private investors would be able to see new information at the same time as other investors. Level Five also contains a communication function that allows the CEO to communicate instantaneously with all investors.


Information held on Level Five after the offering period includes:
  • Audited Annual/Quarterly financials. Available to all Shareholders.
  • Annual year end valuation of company, if available. Available to all Shareholders.
  • The Company’s Private Exchange. Information or data related to accredited investors orQIBs who desire to buy more or sell private securities of the company. Available to all Shareholders.
  • The historical archive of all Due Diligence Document held in the library during the offering period. Available to all Shareholders.
  • For "Major Investors Only." Annual Operating Plan and Budget, with all recent amendments and modifications. Special security access code.
  • For "Major Investors Only." All minutes of the Board, Material, Documents, Provided to Board members, and transcripts, if prepared of Board meetings.
