Level Two of Your Private Portal

Potential investors can access more information about your company and offering on level two. The purpose of the information and documentation is to provide evidence that you granted investors as much data as they needed to “fend for themselves,” in conducting their due diligence of your company.

By granting them access, and monitoring their activities on your private portal, you can verify and document when they were on your portal and what documents they were reading.

Potential investors can move back and forth between the documents on level one and level two, without obtaining your authorization. They have a communications module that allows them to ask you and your securities attorney questions.

Your answers to investors questions are archived in the Frequently Asked Questions module in your private portal, which allows all interested viewers to see the information at the same time and in a uniform setting. You will use the FAQ to document how you treated all potential investors uniformly and fairly.

Level two also contains an important feature for you and investors to confirm and verify the technological feasibility and commercial viability of your company. You may place independent third party expert opinion on level two.

The full documentation for third party verification of your technology and markets can be held in the Due Diligence Document library for special access for those investors that you decide to grant authorization.

The executive summary of your third party expert opinion are available to all users who you grant access to level two documentation.

When and if potential investors decide they would like to continue their investigation of your offering, they can request your authorization to enter level three of your private portal. In their request for authorization, the investors will confirm that they have read all the prior documentation and make a representation to you that they understand than an investment in a private company bears considerable risk.
