Levels Three and Four of Your Private Portal

Investors can obtain all of the financial documents and subscription agreements related to your offering on levels three and four. Unlike the traditional venture capital business model, where the VCs set the terms and conditions of the capital they will invest, in our process, you control the terms and conditions.

If the potential investors like your terms and conditions, they may decide to invest. If the investors reject your terms and conditions, you have the authority to remove them from access to your private portal.

Our software contains blank templates that you and your attorney may use as guides for many of the documents on level three and four. We provide the templates as a service, but we are not lawyers, and we do not give legal advice. We provided the templates to show you examples of how the documents would look after you modified them and uploaded them to your private portal.

Level three contains the Frequently Asked Question module, where you store your responses to investor questions. Individual investors who ask a question from level one or two receive from you an individual response, but the question and the response is placed on level three and is accessed by all investors who are authorized by you to enter level three.

Investors who decide to make an investment in your company are directed to open an account at the third party investment bank and deposit funds in their own account. They remain the legal owners of the funds in the account up to the time of closing, and they will issue a legal letter of authorization to the investment bank to transfer funds to your account on the day of closing.

Our advice on business procedures related to the use of capital by you is to keep the funds in your investment bank account segregated from other financial accounts that you may have in the name of the company. It may be valuable to document that all funds used from this account were directed to the goals you stated in your private placement memo on how funds would be used.

After the offering period is over, you have the option of using level five open as your investor relations web portal.
